1. Acceptance
By accessing the Neurastruct website at neurastruct.com.au, booking a consultation, or engaging Neurastruct (“Neurastruct,” “we,” “us,” or “our”) for services, you agree to these Terms of service. If you do not agree, please do not use the site or engage our services.
These Terms govern your use of the website and our free consultations. Any paid engagement is governed by a separate written agreement (see section 4), which prevails over these Terms to the extent of any inconsistency.
2. About Neurastruct
Neurastruct is Neurastruct Pty Ltd (ABN 84 699 674 649), an Australian private company based in Melbourne, Australia. The Neurastruct business and brand are owned by Harcle Holdings Pty Ltd, and Neurastruct Pty Ltd operates this website and provides the services under licence from Harcle Holdings Pty Ltd. We provide AI and software services for Australian small and medium businesses, currently including (without limitation) AI workflow design and automation; custom software and SaaS builds; websites, online bookings, social content, ecommerce and brand identity; and managed hosting and maintenance. We onboard new services from time to time as required.
3. Use of the website
The Neurastruct website is provided for informational purposes. You may browse, share links to public pages, and book consultations through the integrated calendar provider (Cal.com).
You agree not to:
- Use the site to violate any law or third-party rights.
- Attempt to gain unauthorised access to the site, its infrastructure, or its data.
- Interfere with the site’s availability or performance (e.g. denial-of-service, scraping, or automated abuse).
- Submit false personal information through any form or booking flow.
4. Consultations and engagements
Booking a consultation through this website does not create a service agreement or contract. Consultations are introductory conversations to discuss potential work. Any engagement for paid services will be governed by a separate written agreement (statement of work, contract, or equivalent) signed by both parties. That agreement prevails over these Terms to the extent of any inconsistency and sets out the payment, delivery, refund, and cancellation terms for that work, consistent with the Australian Consumer Law.
Free consultations are provided on a no-obligation basis. Neurastruct reserves the right to decline consultations or future engagements at our discretion, including for prospects whose intended use of AI conflicts with our values or applicable law.
5. Intellectual property
All content on this site — including text, graphics, logos, the Neurastruct brand mark, the gradient identity, photographs, illustrations, video walkthroughs, and the underlying source code — is owned by Harcle Holdings Pty Ltd (and used by Neurastruct Pty Ltd under licence) or its licensors, and is protected by Australian and international copyright laws.
You may not copy, reproduce, modify, distribute, or create derivative works of this material without our prior written permission, except for personal, non-commercial reference (e.g. saving a page for your own records or sharing a public link).
6. Third-party services and data residency
Our site and services rely on third-party providers, including Cal.com (consultation bookings), Resend (email delivery), Sentry (error monitoring), Vercel (website hosting and analytics), VentraIP (email and DNS), Amazon Web Services (production infrastructure), Anthropic (AI processing), Render (application hosting), Supabase (database and backend), Stripe (payments), and Cloudflare (content delivery, DNS, and security). What each provider handles, and where, is set out in our Privacy policy. Their respective terms apply when you interact with them; Neurastruct is not responsible for the practices of these third parties, and you should review their terms independently.
Data residency: your internal business data — the operational data inside the projects we build and run for you — is held in AWS Sydney (ap-southeast-2) by default, so it stays in Australia. Where a project cannot use AWS Sydney because of technical or product constraints, the deviation — and the service, region, and any overseas processing involved — is set out in the terms and conditions for that specific service, product, or custom engagement, and is accepted by you before that work proceeds.
7. Affiliate disclosure
Neurastruct’s Affiliates page lists third-party providers we use ourselves and recommend to clients. Some of those listings include affiliate links — currently this applies to VentraIP for hosting, domains, and email.
If you sign up for a service through one of these links, Neurastruct may receive a small referral commission from the provider, at no additional cost to you. The price you pay is the same as if you had visited the provider directly.
Affiliate relationships do not influence our recommendations. We only list providers we would still recommend if there were no affiliate program. They also do not change our paid engagements: under our Hosting & Care tier, the hosting account stays in your name and on your card — Neurastruct charges a flat management fee, not a markup on your hosting plan.
Outbound affiliate links on this site use rel="sponsored noopener" in line with Google’s webmaster guidance, and a visible disclosure is shown wherever the link appears.
8. Disclaimers and consumer guarantees
The website and any free content (blog posts, guides, video walkthroughs, social media content) are provided “as is” and “as available.” To the maximum extent permitted by law, we exclude all warranties, terms, and conditions that are not expressly set out in these Terms.
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy under the Australian Consumer Law that cannot lawfully be excluded. Where a consumer guarantee applies and may be limited, our liability is limited, at our option, to re-supplying the relevant services or paying the cost of having them re-supplied.
Information provided on this site is general in nature and is not a substitute for tailored professional advice. AI workflows discussed publicly may not be appropriate for your specific business context, regulatory environment, or risk profile.
9. Limitation of liability
To the maximum extent permitted by Australian law, Neurastruct will not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of the website or any free content. Our total liability for any direct claim related to your use of the website — as distinct from a paid engagement, which is governed by its own statement of work — is limited to AU$100.
This limitation does not apply to liability that cannot be excluded under the Australian Consumer Law or other non-excludable consumer guarantees.
10. Privacy
Our handling of personal information is described in our Privacy policy, which is incorporated into these Terms by reference.
11. Governing law
These Terms are governed by the laws of Victoria, Australia. Any disputes arising under or relating to these Terms or the site will be resolved by the courts of Victoria.
12. Changes to these Terms
We may revise these Terms from time to time. The “Last updated” date at the top of this page reflects the most recent revision. Continued use of the website after changes are posted constitutes acceptance of the revised Terms.
13. Severability
If any provision of these Terms is held to be invalid or unenforceable, it is severed to the minimum extent necessary and the remaining provisions continue in full force and effect.
